ProTennessee: Tennessee Law: Registering a Foreign Corporation
How To Register A Foreign Corporation In The State of Tennessee
In order to conduct business in Tennessee a foreign corporation first requires a certificate of authority from the Tennessee Secretary of State. The certificate application, as well as other key corporate processes, forms, and filing procedures may be found at the Tennessee Secretary of State's corporate form web page.
Registration requires an application which designates, among other things, the company's registered agent and Tennessee office, name, and jurisdiction of incorporation. The applicant must submit the appropriate filing fee as well as an official certificate of existence from the state where it was incorporated.
